1. Acceptance of Terms

By accessing or using 81learn.com or any of the AI tutoring services operated under the 81Learn brand (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms, do not use the Service.

These Terms constitute a binding legal agreement between you and 365NCC LLC, the company that owns and operates 81Learn.

2. About 365NCC LLC and 81Learn

81Learn is a brand operated by 365NCC LLC, a limited liability company organized under the laws of the State of Florida. 81Learn provides AI-powered tutoring agents designed to help students prepare for Advanced Placement (AP) and AICE examinations. The Service is an educational study aid and is not affiliated with, endorsed by, or sponsored by College Board, Cambridge Assessment International Education, or any other examination body.

3. Eligibility

You must be 13 years of age or older to register for and use this Service.

By creating an account, you represent and warrant that:

• You are at least 13 years old, OR you are a parent or legal guardian completing registration on behalf of a minor who is under 13 with prior parental consent obtained through the process described in Section 4; and
• You have the legal capacity to enter into a binding agreement on your own behalf or, where applicable, on behalf of the minor.

We reserve the right to terminate accounts that we believe are held by users who do not meet these eligibility requirements.

4. Parental Consent for Minors Under 13

81Learn and 365NCC LLC services are NOT directed at children under the age of 13.

Children under 13 should not register or use the Service without prior parental consent obtained through the process described below.

4.1 Required Parental Consent Process

If a parent or legal guardian wishes to allow a child under 13 to use 81Learn, the parent or guardian must contact us at info@365NCC.com before the child creates an account. We will:

• Provide a parental consent form for the parent or guardian to complete.
• Review and process the consent request.
• Create or authorize the account only after consent is verified.

Accounts created by children under 13 without this prior parental consent process will be suspended and the associated data deleted upon discovery.

4.2 Parent/Guardian Responsibilities

Parents and guardians who authorize access for a child under 13 are responsible for supervising the child's use of the Service and agree to these Terms on the child's behalf.

4.3 COPPA

This Section implements our obligations under the Children's Online Privacy Protection Act (COPPA). For further details on how we handle data for minors, see our Privacy Policy.

5. Account Registration and Security

To use the Service, you must create an account on 81learn.com. You agree to:

• Provide accurate and complete registration information.
• Keep your password confidential and not share your account with others.
• Notify us immediately at info@365NCC.com if you suspect unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account credentials.

One subscription is for one individual user. Sharing account credentials or using a single account for multiple users is prohibited.

6. Subscription, Billing, and Cancellation

6.1 Subscription Fee

Access to 81Learn AI tutoring agents requires a paid subscription at the rate of $10.00 USD per month (or as otherwise displayed at checkout), billed on a recurring monthly basis.

6.2 Billing

Your payment method will be charged on the date you subscribe and on each monthly anniversary thereafter. All fees are in US dollars and are non-refundable except as described below.

6.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting info@365NCC.com. Cancellation takes effect at the end of the current billing period. You retain access to the Service until the end of the period for which you have paid.

6.4 Refund Policy

All fees are non-refundable. We do not offer refunds for partial months, unused time, or any reason after a payment has been processed. You may cancel your subscription at any time, which stops future renewals but does not refund the current billing period. Your access continues through the end of the period you have already paid for.

6.5 Price Changes

We reserve the right to change subscription pricing with at least 30 days' notice by email before the change takes effect. Continued use of the Service after the notice period constitutes acceptance of the new price.

6.6 Payment Processing

Payments are processed by PayPal. We do not store your full payment card details. See our Privacy Policy for more information.

7. Permitted Use and Acceptable Use Policy

7.1 License

Subject to your compliance with these Terms, 365NCC LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal, non-commercial educational use.

7.2 Prohibited Conduct

You agree NOT to:

• Harvest content, responses, or data from the Service using automated tools, bots, or scripts.
• Resell, sublicense, or redistribute access to the Service or any AI-generated content from the Service to third parties.
• Attempt to jailbreak, manipulate, or circumvent the AI tutoring agents to produce outputs outside their intended educational purpose (e.g., generating content unrelated to academic subjects, bypassing safety filters).
• Use the Service to engage in academic dishonesty, including submitting AI-generated responses as your own original work in a manner prohibited by your school's academic integrity policies. The Service is a study aid, not a ghostwriting tool.
• Upload, transmit, or share content that is unlawful, harmful, abusive, defamatory, or violates any third-party rights.
• Attempt to gain unauthorized access to our systems, other user accounts, or any connected infrastructure.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Use the Service in any way that violates applicable local, state, national, or international law.

We reserve the right to suspend or terminate accounts that violate this Section without refund.

8. AI Tutor Disclaimer

IMPORTANT — PLEASE READ CAREFULLY.

The AI tutoring agents provided through 81Learn are powered by large language model technology supplied by third-party AI providers and are designed as supplementary educational study tools. You acknowledge and agree that:

• AI responses may be inaccurate. The AI may produce incorrect, incomplete, or outdated information. Always verify important information against authoritative sources such as your textbook, teacher, or official exam preparation materials.
• This is a study aid, not a substitute for your own learning. Using 81Learn does not replace studying, attending class, or engaging with official course materials. Your academic success depends on your own effort and learning.
• No guarantee of exam performance. 81Learn makes no representations or warranties that using the Service will result in passing scores, improved grades, or any particular academic outcome on AP, AICE, or any other examination.
• Not affiliated with exam boards. 81Learn is not affiliated with, endorsed by, or sponsored by College Board (AP exams), Cambridge Assessment International Education (AICE exams), or any school, school district, or educational institution.
• Not a substitute for teacher or professional advice. For questions about your specific coursework, grading, or academic situation, consult your teacher or academic advisor.

9. Intellectual Property

9.1 Our Content

All content on 81learn.com and in the tutor applications — including but not limited to text, graphics, logos, the 81Learn brand name, interface design, and underlying software — is owned by or licensed to 365NCC LLC and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

9.2 Your Content

You retain ownership of any content you submit to the Service (e.g., your questions and prompts). By submitting content, you grant 365NCC LLC a limited license to process and transmit that content to third-party processors (such as OpenAI) solely for the purpose of delivering the Service to you.

9.3 AI-Generated Responses

AI-generated responses are produced for your personal educational use only. You may take notes from and study these responses, but you may not republish, redistribute, or commercially exploit them.

10. Disclaimers and Limitation of Liability

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 365NCC LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless 365NCC LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

12. Termination

12.1 Termination by You

You may close your account at any time by contacting info@365NCC.com. Cancellation of your subscription is governed by Section 6.3.

12.2 Termination by Us

We may suspend or terminate your account and access to the Service, with or without notice, if we believe in good faith that you have violated these Terms, engaged in fraudulent or abusive behavior, or for any other reason at our sole discretion. In the event of termination for cause, no refund will be issued.

12.3 Effect of Termination

Upon termination, your license to use the Service ends immediately. We will handle your data as described in our Privacy Policy, including the 90-day post-cancellation retention period for usage data.

13. Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

14. Dispute Resolution

14.1 Informal Resolution First

Before initiating any formal dispute, you agree to contact us at info@365NCC.com and give us 30 days to attempt to resolve the issue informally. Most disputes can be resolved this way without escalation.

14.2 Jurisdiction and Venue

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in the State of Florida. You and 365NCC LLC consent to the personal jurisdiction of those courts and waive any objection to venue.

14.3 Small Claims Court

Either party may bring a qualifying claim in small claims court in lieu of court litigation, subject to that court's jurisdictional limits and rules.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. For material changes, we will provide at least 14 days' notice by email before the new terms take effect. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

If you do not agree to revised Terms, you must cancel your subscription and stop using the Service before the effective date of the changes.

16. Miscellaneous

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and 365NCC LLC regarding the Service.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
• Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
• Force Majeure. We are not liable for delays or failures resulting from causes beyond our reasonable control, including internet outages, third-party service failures, or acts of God.
